Care Access Community Ambassador Agreement
This Care for Friends Ambassador Agreement (the “Agreement”) is entered into between Care Access Research LLC, together with its affiliate companies (“Care Access”) and the individual agreeing to these terms (the “Community Ambassador”). Care Access and Community Ambassador may be referred to individually as a “Party” and collectively as the “Parties.”
By participating in the Care for Friends Community Ambassador Program (the “Program”), Ambassador acknowledges and agrees to the terms of this Agreement and any other Program Terms community to Community Ambassador.
Program Overview
- The Program permits eligible Ambassadors to receive referral payments for referring first-time, new participants (“Potential Participants”) who consent to participate in qualifying Care Access programs and for supporting certain Care Access events.
- Care Access will determine, in its sole discretion, which studies, events or programs are eligible for referral credit.
- Participation in the Program is voluntary and non-exclusive. Care Access may modify or discontinue the Program at any time by sending you updated terms. When you receive updated terms you may (1) accept the terms by continuing to refer Potential Participants, participate in the Program and/or log into any portals or (2) decline the terms by not further participating in the Program.
Independent Status; No Authority
- Community Ambassador acknowledges and agrees that Community Ambassador is an independent individual, not a company or organization, and is not an employee, agent, intermediary, representative, or partner of Care Access.
- Community Ambassador has no authority to bind Care Access, make commitments on Care Access’s behalf, negotiate on behalf of Care Access, make any endorsements on behalf of Care Access, or represent that Community Ambassador has such authority.
- Nothing in this Agreement creates any employment relationship, agency, partnership, joint venture, franchise, or other formal business relationship.
Qualified Referrals
- A “Qualified Referral” is a Potential Participant who:
- accesses only your valid and active Community Ambassador referral link and, for events, registers before the start time of an event;
- has never before participated in a Care Access program (i.e., is not in the Care Access program records); and
- provides consent to participate in a qualifying study or program designated by Care Access.
- Only the Potential Participant may register through the referral link. Ambassador may not register individuals on their behalf.
- A Qualified Referral will be associated only with the first referral link used. Multiple referral links or multiple entries or registrations for the same person are not permitted. If a Qualified Referral does not use your link, then you will not be compensated.
Community Ambassador Obligations and Restrictions
- Accuracy and Lawful Conduct. Community Ambassador agrees to:
- comply with all applicable laws;
- disclose that the Community Ambassador is compensated when making endorsements of Care Access programs;
- use only truthful, lawful, and non-coercive outreach methods; and
- respect the privacy of all individuals, including not storing their contact information, identifying information or health information.
- Prohibited Conduct. Community Ambassador agrees that they shall not:
- represent or imply that Ambassador is employed by, affiliated with, or formally authorized by Care Access beyond the limited role described in this Agreement;
- provide medical advice, diagnose conditions, recommend specific treatments or tests, or suggest that participation in any Care Access study or program is medically necessary;
- create materials, business cards, websites, email addresses, social media pages, or other content implying Care Access affiliation or endorsement;
- create or distribute their own promotional materials regarding Care Access programs, unless expressly approved in writing by Care Access;
- target, solicit, or direct Program activities toward vulnerable populations (including incarcerated individuals, unhoused individuals or individuals with substance use disorders), including individuals who may lack the capacity to consent or may be susceptible to coercion or undue influence without consulting Care Access;
- make statements that are misleading, inaccurate, deceptive, or inconsistent with Care Access communications or the nature of the Program;
- engage in spam, harassment, abusive or unethical practices, or other conduct that could reasonably be expected to cause reputational harm to Care Access; or
- disparage Care Access, its employees, its studies, or the Program.
- No Delegation. Ambassador may not engage or compensate third parties to perform Ambassador tasks or referral activities.
Referral Link Distribution
- Community Ambassador shall distribute referral links only to individuals with whom Ambassador has a personal connection or a reasonable basis to believe such outreach will be welcome.
- Community Ambassador shall not publish referral links on coupon sites, message boards, Reddit forums, or other broadly public or anonymous platforms.
Payment and Taxes
- Community Ambassadors will receive payment of $25 USD for each eligible Qualified Referral who meets Care for Friends eligibility criteria. Payments will be made within 30 days of each Qualified Referral consenting to join a Care Access program or study. Whether a payment is due is at the sole discretion of Care Access.
- Community Ambassadors, when authorized in writing prior to performing any activities, may receive up to $400 for assistance in sourcing, scheduling, setting up or helping with an event. This amount will vary based on the event.
- The maximum payment under this Agreement shall be $10,000. Any rewards over this amount must be approved in writing by a Care Access Vice President or above prior to initiating any activities.
- While you may select a payment mechanism, the final decision as to how payments will be provided is solely determined by Care Access.
- Taxes. Community Ambassador acknowledges that tax regulations may require
Care Access to collect appropriate tax information from Care for Friends Community Ambassadors
(e.g., an IRS Form W-9 from U.S. persons who receive payment). Care Access will not withhold
taxes from payments. Care Access may, at its sole discretion, require that you verify your
identity using reasonable methods or require that you complete an IRS Form W-9 at any time.
You acknowledge that after you earn $2,000 in a single calendar year, Care Access must send you an IRS Form 1099 so that you may file it with your annual taxes. You understand and agree that you are solely responsible for keeping the information in your tax forms current, complete, and accurate, and for determining your applicable tax reporting requirements. You are also solely responsible for remitting to the relevant authority any taxes due by you. Please consult your tax advisor on how this Program may impact your tax situation because Care Access cannot and does not offer tax-related advice to you.
- Suspected Fraud, Tampering or Violations of the Terms. Care Access reserves the right to any remedy, including termination and/or denial of payout, if fraud, tampering, or other violations of these Terms are suspected. You agree that you will not be eligible for payments if you are in breach of the Agreement terms or other Program Terms.
Term and Termination
- This Agreement becomes effective upon Community Ambassador’s participation in the Program and continues until terminated.
- Care Access may terminate Ambassador’s participation, or terminate the Program in whole or in part, at any time and for any reason or no reason, with or without notice, in its sole discretion.
- Community Ambassador may terminate participation at any time by ceasing Program activity and no longer logging in to any Program websites or portals.
- Upon termination, Community Ambassador shall immediately discontinue all Program-related outreach and cease use of referral links.
- Sections concerning obligations, restrictions, non-disparagement, independent status, and liability shall survive termination.
Representations and Warranties
- Ambassador represents and warrants that:
- all information provided to Care Access is true and accurate;
- Community Ambassador will comply with this Agreement at all times;
- Community Ambassador will not engage in conduct that could harm Care Access, Potential Participants, or the public.
Indemnification
- Ambassador shall indemnify, defend, and hold harmless Care Access and its affiliates from all claims, losses, liabilities, damages, and expenses arising from Ambassador’s activities under this Agreement, Ambassador’s breach of this Agreement, or Ambassador’s misconduct.
Modification
- Care Access may modify this Agreement or Program rules at any time by providing notice or by posting revised terms on the Program website. Continued participation constitutes acceptance of the modified Agreement. If Community Ambassador does not accept the modified terms, Community Ambassador’s sole remedy is to discontinue participation.
Entire Agreement
- This Agreement constitutes the entire agreement between the Parties regarding Ambassador participation in the Program and supersedes all prior agreements or understandings relating to the subject matter.
Governing Law
- This Agreement shall be governed by and interpreted in accordance with the laws of the State of Delaware, without regard to its conflict-of-laws provisions.
Assumption of Risk; No Insurance Coverage
- Community Ambassador acknowledges and agrees that Community Ambassador participates in the Program voluntarily and at Community Ambassador’s own risk. Community Ambassador is solely responsible for Community Ambassador’s personal safety and for exercising reasonable judgment in connection with all Program-related activities.
- Community Ambassador understands and agrees that Community Ambassador is not a Care Access employee and therefore is not covered by any Care Access insurance policy, including but not limited to workers’ compensation, general liability, automobile liability, or health insurance.
- Community Ambassador is solely responsible for obtaining and maintaining any insurance Community Ambassador deems appropriate, including health insurance, general liability insurance, or accidental injury insurance.
- Community Ambassador understands that Care Access shall have no responsibility or liability for any injury, accident, loss, claim, or damage incurred by Community Ambassador in connection with Program participation, regardless of cause, and Community Ambassador releases Care Access from any such liability to the fullest extent permitted by law.
